Terms of Service

01Acceptance of Terms

These Terms of Service ("Terms") are a legal agreement between you and RedSEO, operated by Larry Norris Marketing, LLC ("RedSEO," "we," "us," or "our"). By accessing www.redseo.io (the "Site"), requesting a proposal, or engaging RedSEO for services, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree, do not use the Site or our services. Specific service engagements may be governed by a separate signed agreement (a "Service Agreement"); where there is a conflict between these Terms and a signed Service Agreement, the Service Agreement controls.

02Eligibility

You must be at least 18 years old and able to form a binding contract under applicable law to use the Site or our services. If you're using the Site on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.

03Use of the Site

You agree to use the Site lawfully and respectfully. You will not:

• Attempt to gain unauthorized access to any part of the Site or related systems
• Scrape, copy, or republish substantial portions of the Site without permission
• Interfere with the Site's normal operation or security
• Use the Site to transmit malware, spam, or abusive content
• Misrepresent your identity or affiliation
• Use the Site in any way that violates applicable law

We may suspend or restrict access to the Site at any time without notice for violations of these Terms.

04Our Services

RedSEO provides search engine optimization, content, analytics, and related digital marketing services. The specific scope, deliverables, timeline, and fees for any engagement are defined in a Service Agreement, statement of work, or proposal we sign with you.

Any guidance, articles, tools, or free resources on the Site are provided for general informational purposes and do not create a service relationship by themselves.

05Payment & Billing

Fees, billing cycle, and payment terms are described in your Service Agreement. Unless otherwise stated:

• Invoices are due upon receipt or net the days specified in your agreement
• Recurring fees auto-renew until either party cancels per the agreement
• Late payments may incur a fee and may pause active work until balances are resolved
• Fees are exclusive of taxes, which you are responsible for
• All fees are non-refundable unless explicitly stated otherwise

06Cancellation & Refunds

Cancellation terms are governed by your Service Agreement. We generally do not require long-term contracts and aim to make ending an engagement straightforward — but specific notice periods, deliverable handoff terms, and any prepaid balances will be handled per your agreement.

Completed work and services already rendered are not refundable.

07Intellectual Property

All content on the Site — including text, graphics, logos, code, designs, and trademarks — is owned by RedSEO or our licensors and is protected by U.S. and international intellectual property law. The "RedSEO" name and related marks are trademarks of Larry Norris Marketing, LLC.

You may not copy, modify, distribute, or create derivative works of Site content without our prior written consent, except for personal, non-commercial reference.

For client deliverables (content, strategies, reports produced under a Service Agreement), ownership is governed by that agreement. By default, deliverables fully paid for transfer to the client; methodologies, internal frameworks, and tooling we developed independently remain ours.

08Client Content & License

When you submit content, brand assets, account access, or other materials to RedSEO ("Client Content") for use in our services, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and publish that content as needed to perform the services.

You represent that you have the rights to grant this license and that your Client Content does not infringe any third party's rights or violate any law.

09No Guarantees on Rankings

SEO is influenced by many factors outside our control — search engine algorithms, competitor activity, market conditions, and changes you make to your own site or business. We follow industry best practices and apply real strategy to drive measurable improvement, and we have a strong track record. But we do not guarantee specific rankings, traffic volumes, conversion rates, revenue outcomes, or that any result is permanent.

Anyone in our industry who promises a #1 ranking is either misleading you or planning to do something risky. We won't.

10Disclaimers

The Site and our services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted operation.

We do not warrant that the Site will be error-free, secure, or continuously available, or that defects will be corrected. Any reliance you place on Site content or service-related information is at your own risk.

11Limitation of Liability

To the fullest extent permitted by law, RedSEO and its officers, employees, contractors, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages — including lost profits, lost data, lost revenue, or business interruption — arising out of or related to the Site or our services, even if we've been advised of the possibility of such damages.

Our total cumulative liability for any claim arising out of or relating to the Site or our services will not exceed the amount you paid RedSEO in the three (3) months preceding the event giving rise to the claim, or one hundred U.S. dollars ($100), whichever is greater.

Some jurisdictions do not allow the exclusion or limitation of certain damages; in those cases, the limitations above apply to the maximum extent permitted by law.

12Indemnification

You agree to indemnify, defend, and hold harmless RedSEO and its affiliates from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Site or services; (b) your Client Content or your business; (c) your violation of these Terms; or (d) your violation of any law or third-party right.

13Third-Party Links

The Site may link to or integrate with third-party websites, tools, and services that we do not own or control. We are not responsible for the content, policies, or practices of any third party, and linking does not imply endorsement.

14Termination

We may suspend or terminate your access to the Site or services at any time, with or without notice, if you violate these Terms or your Service Agreement, fail to pay, or use the Site or services in a way we reasonably believe is harmful.

Sections of these Terms that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — will survive.

15Governing Law

These Terms are governed by the laws of the State of Utah, United States, without regard to conflict-of-law rules. Any dispute arising out of or relating to these Terms or our services will be brought exclusively in the state or federal courts located in Salt Lake County, Utah, and you consent to the personal jurisdiction of those courts.

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect.

16Changes to These Terms

We may update these Terms from time to time. When we do, we'll update the "Effective" date above. Material changes will be communicated to active clients in writing. Your continued use of the Site or services after changes take effect means you accept the updated Terms.
